Read this before you sign in as an advisor firm. A firm administrator accepts it inside ClarityApp (My Clients) before the firm can add clients. It applies together with the Terms of Use and Privacy Policy. ClarityApp is operated by Margini Labs, LLC.
This page is the version of the agreement currently in force (version 2026-10-03). If we publish a new version, each firm is asked to accept it before adding more clients.
This Advisor Firm Agreement ("Agreement") is between Margini Labs, LLC, a Maryland limited liability company doing business as Margini Financial ("Margini", "we"), and the accounting, bookkeeping, or advisory practice identified in its firm account (the "Firm", "you"). The person accepting for the Firm confirms they have authority to bind it.
ClarityApp is software made by Margini. This Agreement covers the Firm's use of ClarityApp's advisor features: managing client businesses, firm team access, firm-provided plan coverage, and co-branding. It is in addition to the ClarityApp Terms of Use and Privacy Policy, which also apply. If this Agreement and the Terms conflict about an advisor-firm matter, this Agreement controls for that matter.
2.1 Firm accounts are created by Margini on request, for an advisor who already has a ClarityApp account. We may decline or end any firm account.
2.2 The Firm has one or more administrators (who manage the team, clients, billing, and branding) and may add team members who hold ClarityApp accounts. Being on the team gives a person no access to any client by itself. The Firm chooses which of its people can open each client.
2.3 The Firm is responsible for everything done through its account and by its people, for keeping its sign-in methods secure, and for removing people who leave the Firm or should no longer have access. We may treat any action taken through the Firm's account as the Firm's.
2.4 The Firm will give us accurate information and keep it current: legal name, contact email, and billing details.
3.1 The client owns and controls the business. The Firm does not acquire ownership of a client's business, its records, or its ClarityApp account by being given access or by sponsoring coverage.
3.2 Authorization comes from the client. The Firm gets access to a client business only after the client accepts the Firm's invitation or enters the Firm's code, and only at the access level the client chose. An invitation on its own gives the Firm no access. When a client accepts an invitation the Firm sent, the client's business is created under the client's own account at that time. The Firm will not attempt to obtain access any other way.
3.3 Access limits. Within the access level granted, Firm people may see and work with that business's information. Through the Firm relationship they cannot add or remove the client's own users or change the client's access permissions. A client may separately invite an individual at the Firm as an ordinary member of the business.
3.4 Ending access. The client or the Firm may end the relationship at any time. When it ends, the Firm's access to that business ends immediately for all Firm people. Ending never deletes the client's business, records, or history. The Firm must stop using any client information it obtained, except as the Firm is legally or professionally required to keep it.
3.5 The Firm's own duties to its clients. The Firm is solely responsible for the advice and services it gives its clients, for obtaining any consents and giving any notices its clients are owed, and for meeting its own professional, licensing, confidentiality, privacy, and other legal obligations. Margini does not provide services to a client through the Firm and is not a party to the relationship between the Firm and its client.
3.6 No professional relationship with Margini. ClarityApp is software, not a CPA firm. Using it does not create an accountant-client, advisor-client, or other professional relationship with Margini, and nothing in ClarityApp is tax, legal, or investment advice.
4.1 Confidentiality. The Firm will keep client information confidential, use it only to serve that client within the access granted, and protect it with safeguards at least as strong as the Firm uses for its other client records.
4.2 Security. The Firm will use strong, unique sign-in credentials for its people, will not share accounts, will promptly remove access for departed personnel, and will tell us promptly, and in any case within 72 hours, at hello@marginifinancial.com if it learns of unauthorized access to a client business or to the Firm's account.
4.3 Roles. As between the Firm and Margini, the Firm decides why and how it uses client information it accesses, and Margini provides the software and hosting.
4.4 Records and audit trail. The Firm understands that ClarityApp records who gained access, when access was granted, changed, or removed, and the actions firm people take in a client business, and that clients can see this history for their own business.
4.5 Privacy. Margini's handling of information is described in the ClarityApp Privacy Policy. The Firm will not use ClarityApp to collect information it has no right to collect.
5.1 Included coverage. Margini may include ClarityApp Pro at no charge for the Firm on a number of businesses that Margini sets for the Firm, counting businesses owned by Firm people and active client businesses. Margini may change that number and will give 30 days' notice of any reduction. It is a complimentary arrangement, not a purchase, and not a commitment about future pricing.
5.2 Coverage can end. If included coverage ends or is reduced, the Firm's account is suspended, or this Agreement ends, affected businesses go back to the plan they would otherwise have, including the Free plan, under the Terms. Nothing is deleted because of that change.
5.3 Sponsoring additional clients. The Firm may choose to cover a client business beyond its included coverage. The price is shown to the Firm in ClarityApp before it confirms, and is billed to the Firm through Stripe. Margini may change prices on 30 days' notice. Each covered client has its own subscription. The Firm controls whether a client stays covered. Sponsorship does not transfer ownership of the client's business or data to the Firm.
5.4 How coverage ends. The Firm may stop covering a client at any time. Coverage then ends at the end of the period already paid, and the client keeps Pro for 30 days so they can continue with their own subscription. If the Firm's access to a client ends, coverage for that client is scheduled to end as well. No refund or credit applies to any unused sponsored period, except where required by law.
5.5 Payment. The Firm authorizes Stripe to charge its payment method for covered clients. Fees are non-refundable except as stated in this Agreement or required by law. If payment fails, we may end coverage for affected clients after notice.
5.6 Taxes. Prices exclude taxes. Where Margini is required to collect tax, it will be calculated and added at checkout, and the Firm is responsible for any taxes it owes.
6.1 License. The Firm gives Margini a non-exclusive, worldwide, royalty-free license to display the Firm's name, logo, brand color, and welcome message in ClarityApp and in invitation emails and screens shown to the Firm's clients, for as long as the Firm is in the program. The Firm may remove or change them at any time.
6.2 Rights and content. The Firm promises it has the right to use and license what it provides, and that it will not upload anything unlawful, misleading, infringing, or offensive. Logos must be PNG, JPEG, or WEBP files. We may remove branding that breaches this Section.
6.3 Co-branding only. Branding is shown alongside ClarityApp by Margini. ClarityApp and Margini branding remain visible and the financial screens are not changed. The Firm gets no right to rename, resell, white-label, or imply that it owns or developed ClarityApp.
6.4 Margini marks. Margini keeps all rights in ClarityApp, its name, logo, and content. The Firm may describe itself as a "ClarityApp advisor firm" but may not suggest endorsement or certification by Margini without written permission.
7.1 The Firm will use ClarityApp only for its intended purpose, will not misrepresent its identity or authority, will not invite or contact people who have not asked for or agreed to hear from the Firm, and will follow the acceptable-use and invoice rules in the Terms.
7.2 The Firm will not use the invitation tools to send bulk or unsolicited messages. Invitations may be rate-limited.
7.3 The Firm will not attempt to access any business it has not been authorized for, bypass access controls, or probe or test ClarityApp's security without our written permission.
8.1 By the Firm. The Firm may end this Agreement at any time by telling us at hello@marginifinancial.com. It must also end its client relationships or let them lapse as it chooses.
8.2 By Margini. We may suspend or end the Firm's account for breach of this Agreement or the Terms, misuse, non-payment, or legal requirement, with notice where practical.
8.3 Effect. Suspension may end the Firm's access to client businesses and may affect client coverage provided through the Firm. We will not delete a client's business or financial records solely because the Firm's account is suspended or ended. A client's own access to their business is never affected by this Agreement ending.
8.4 Survival. Sections 3.4, 3.5, 3.6, 4.1, 5 (for amounts owed), 9, 10, 11, and 12 survive.
ClarityApp is provided "as is" and as available, and is in beta. We do not promise it will be uninterrupted or error-free, or that any figure or insight is accurate or fit for the Firm's or its clients' decisions. The Firm is responsible for checking figures before relying on them or giving advice based on them. Margini does not guarantee that any client will accept an invitation or keep a relationship with the Firm.
To the fullest extent the law allows, neither party is liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or revenue. Margini's total liability under this Agreement will not exceed the greater of $100 or the amount the Firm paid Margini in the twelve months before the claim.
The Firm will defend and indemnify Margini against claims, losses, and expenses (including reasonable attorneys' fees) arising from the Firm's breach of this Agreement, its use of client information, its advice and services to clients, the content it provides for branding, or its violation of law or others' rights.
12.1 Governing law and disputes. Maryland law governs this Agreement, without regard to conflict-of-law rules. Before filing a claim, the parties will try to resolve it informally for 30 days. Any dispute that is not resolved will be decided by binding, individual arbitration under the rules of the American Arbitration Association, rather than in court, except that either party may bring an individual claim in small-claims court if it qualifies. Claims must be brought individually, not as part of any class, consolidated, or representative proceeding.
12.2 Changes. We may update this Agreement. We will give 30 days' notice by email and in the app. If the Firm keeps using the advisor features after the effective date, it accepts the update. If it does not agree, it may end the Agreement.
12.3 Notices. Notices to Margini go to hello@marginifinancial.com. Notices to the Firm go to the contact email on its account and may also be given in the app.
12.4 Entire agreement; severability; assignment. This Agreement, with the Terms and Privacy Policy, is the entire agreement about advisor features. If a part is unenforceable, the rest stays in effect. The Firm may not assign this Agreement without our consent. Margini may assign it in a merger or sale of its business.
12.5 Independent parties. The parties are independent. Nothing creates a partnership, joint venture, employment, agency, or referral-fee arrangement.
